The New Era of Pallacanestro Trieste begins
As of today, 90 percent of the shares of Pallacanestro Trieste are owned by CSGI - Cotogna Sports Group Italia, a wholly owned subsidiary of CSG and incorporated to operate in Italy. This morning in Milan the formal operations were concluded that effectively sanctioned the transfer to the American group.
"After extensive due diligence, we have successfully closed the acquisition agreement," commented Fitzann R. Reid, president of CSGI. "Tomorrow morning we will be in Trieste to meet with the team, staff, minority shareholders, partners and sponsors, the press and a delegation of fans. Today the new course of Pallacanestro Trieste began."
The General Meeting of Pallacanestro Trieste was held today in Milan and approved the financial statements as of 6/30/22, which closed without a loss. Taking note of the binding purchase request by CSGI, the Board of Directors in office since November 2019, composed of Mario Ghiacci, Luca Farina, Marco Bono, Vincenzo Settimo and Gianfranco Cergol, together with the Statutory Auditors, resigned and as a last act, according to the agreements made with CSGI, appointed the new Board of Directors of Pallacanestro Trieste.
This was followed by the formalization of the sale of the majority of the shares, at the end of which the first Extraordinary Meeting of the new members was convened, whose task was to complete all formalities, take note of the financial statements for the current fiscal year, and assume all economic and managerial offices and responsibilities.
Pallacanestro Trieste's first Board of Directors of the CSG era consists of five members, four of whom are indicated by Cotogna Sports Group Italia: they are Richard de Meo (Chairman), Fitzann R. Reid (Vice Chairman), Connor Barwin, and Mario Ghiacci (Vice Chairman); the fifth member is chosen by the minority shareholder, Trieste Basket srl. Trieste Basket Srl has appointed Trieste manager Andrea Bochicchio as a member of the Board of Directors.
As mandated by the Board of Directors, Mario Ghiacci will continue to act as General Manager of the Club, in close liaison with Richard de Meo and Fitzann R. Reid, who will take care of the company's development in Italy and the U.S., in connection with CSG's founding members.
The meeting also confirmed the auditors from the previous term, Ave Chinetti and Andrea Bussani, who were joined by Anna Masè.
"This morning's formal acts," said Prabhdeep Singh Sekhon, managing director of CSGI, "are our starting point. We strongly wanted Mario Ghiacci on our Board of Directors and in the management of the company: he maintains the role of General Manager of Pallacanestro Trieste, as a sign of continuity and to give great value to the work done so far, which will continue over time. We want to thank," Sekhon concluded, "the previous Board of Directors for their work, and for allowing us to acquire a company with a healthy balance sheet and important prospects. Thanks also to the Pavia and Ansaldo and Campa Avvocati law firms that have assisted Cotogna Sports Group and Pallacanestro Trieste, respectively, in these months."

Il 90% delle quote della Pallacanestro Trieste è da oggi proprietà di CSGI - Cotogna Sports Group Italia, società interamente controllata da CSG e costituita per operare in Italia. Stamani a Milano si sono concluse le operazioni formali che hanno sancito di fatto il passaggio al gruppo americano.
“Dopo una lunga due diligence, abbiamo chiuso con successo l’accordo di acquisizione” ha commentato Fitzann R. Reid, presidente di CSGI. “Domani mattina saremo a Trieste per incontrare la squadra, lo staff, i soci di minoranza, i partner e gli sponsor, la stampa e una delegazione dei tifosi. Oggi è cominciato il nuovo corso della Pallacanestro Trieste”.
Oggi a Milano si è svolta Assemblea dei soci della Pallacanestro Trieste che ha approvato il bilancio al 30/6/22, che chiude senza alcuna perdita. Preso atto della richiesta vincolante di acquisto da parte della CSGI, il Consiglio di Amministrazione in carica dal novembre 2019, composto da Mario Ghiacci, Luca Farina, Marco Bono, Vincenzo Settimo e Gianfranco Cergol, assieme ai Sindaci, si è dimesso e come ultimo atto, secondo gli accordi presi con il CSGI, ha nominato il nuovo Consiglio di Amministrazione della Pallacanestro Trieste.
A seguire è stata formalizzata la vendita della maggioranza delle quote, al termine della quale è stata convocata in via straordinaria la prima Assemblea dei nuovi soci che ha avuto il compito di espletare tutte le formalità, prendere atto del bilancio dell’attuale anno fiscale e assumere tutte le cariche e le responsabilità economiche e gestionali.
Il primo Consiglio di Amministrazione della Pallacanestro Trieste dell’era CSG è costituito da cinque componenti, quattro dei quali indicati da Cotogna Sports Group Italia: si tratta di Richard de Meo (Presidente), Fitzann R. Reid (Vicepresidente), Connor Barwin, e Mario Ghiacci (Vicepresidente); il quinto componente è scelto dal socio di minoranza, Trieste Basket srl. Trieste Basket Srl ha nominato il manager triestino Andrea Bochicchio come componente del Cda.
Su mandato del Consiglio di Amministrazione, Mario Ghiacci continuerà ad agire come General Manager del Club, in stretto collegamento con Richard de Meo e Fitzann R. Reid, che cureranno lo sviluppo in Italia e USA della società, in collegamento con i soci fondatori di CSG.
L’assemblea ha anche confermato i Sindaci del precedente mandato, Ave Chinetti e Andrea Bussani, cui si aggiunge Anna Masè.

Abbiamo fortemente voluto Mario Ghiacci nel nostro Consiglio di Amministrazione e nella gestione della società: mantiene il ruolo di General Manager della Pallacanestro Trieste, in segno di continuità e per dare grande valore al lavoro fatto sin qui, che continuerà nel tempo. Vogliamo ringraziare - ha concluso Sekhon - il precedente Consiglio di amministrazione per il lavoro svolto, e per averci permesso di acquisire una società dal bilancio sano e dalle importanti prospettive. Un ringraziamento anche agli studi legali Pavia e Ansaldo e Campa Avvocati che hanno assistito rispettivamente Cotogna Sports Group e la Pallacanestro Trieste in questi mesi”.
